Terms of Service

• 1.1 Services: ChatPlotDB and Relay, and all their features, provided by Simplifying AI.
• 1.2 ChatPlotDB: our data analysis agent. You ask questions about your databases and files in plain English and it answers with queries, tables, charts and dashboards.
• 1.3 Relay: our website chat agent. It reads the pages and documents of a website you control and answers that website's visitors in a chat widget you place on it and, if you connect one, on your WhatsApp Business number.
• 1.4 We, us, our: Simplifying AI. You, your: the person or organization using the Services.
• 1.5 Organization: a shared workspace with an owner and members. Each member has a role for each product (admin, member or no access). Your personal workspace is ChatPlotDB only.
• 1.6 Visitor: a person who uses the Relay widget on your website, or who messages the WhatsApp number you connect to Relay. Visitors do not sign in and are not party to these Terms.
• 1.7 Your data: anything you connect, upload, or create using the Services, including databases, files, questions, queries, results, dashboards, configs, the website content Relay reads for you, and your visitors' conversations.
• 1.8 Credits: the prepaid units the Services draw down as you use them. One credit is worth US$0.10 of usage. ChatPlotDB and Relay each have their own credit balance (a wallet).
• 1.9 Plan: a monthly subscription that adds credits and sets limits. Pack: a one-off purchase of credits.
• 1.10 AI: software that generates answers on its own, used here to write database queries, describe results, and answer visitors.
• 1.11 Sub-processor: an outside company that processes your data on our behalf, for example the cloud provider that runs our servers, or an AI provider that processes a question.

• 2.1 Who may use them. The Services are for business or professional use, not for personal or consumer use. You must be able to enter into a contract, and if you accept these Terms for an organization, you confirm you may bind it.
• 2.2 What you may do. We give you a limited right (a 'licence') to use the Services for your own business: ChatPlotDB on data you own or have permission to use, and Relay on websites you own or control. This right is for you and your organization only, and you cannot sell it or pass it on.
• 2.3 Your account. You are responsible for everything done under your account and your organization, and for keeping your login details safe.
• 2.4 One free start per person. Welcome credits are given once per person: once for your personal account, and once for the first organization you own. You may own one organization unless we agree to more. Creating extra accounts or organizations to collect welcome credits again is not allowed.

2.5 What you may not do (and must not help anyone else do):

• use data you do not own or have clear permission to use;
• point Relay at a website you do not own or control, or use it to copy, mirror or republish someone else's content;
• resell, rent, share, or pass on the Services or your access, or run them as a service for others;
• copy or reverse engineer the software or the prompts behind the Services (unless the law gives you that right anyway);
• use the Services, or what you learn from them, to build or help build a competing product;
• use robots, scrapers, or scripts to reach the Services outside the normal screens and the Relay widget, or to pull out data in bulk;
• disrupt or overload the Services, or get around any rate, usage, credit, plan, or billing limit, including by sharing one seat between several people;
• hide, cover or remove the Relay branding your plan requires;
• try to reach or interfere with any account, organization or data that is not yours;
• use the Services for anything unlawful, anything that breaks a contract you are under, or anything that harms the rights of others, including putting unlawful or harmful content in front of your visitors.

• 3.1 The owner of an organization controls it: its members, their roles, its plans and its billing. The owner can give other members an admin role for ChatPlotDB, for Relay, or both.
• 3.2 The owner is responsible for the members they invite and for what those members do in the organization.
• 3.3 A member may leave an organization at any time. The owner cannot leave; the owner deletes the organization instead (see 9.4).
• 3.4 Adding members to an organization needs an active plan for the product they will use. Each ChatPlotDB member is a paid seat on the Team plan; each Relay member after the owner is charged as an extra member.

• 4.1 We own the Services, including all software, prompts, designs, and brand behind them. Using them gives you no ownership of them.
• 4.2 You own your data, and the results the Services make from your data (queries, charts, tables, dashboards, configs, and Relay's answers to your visitors).
• 4.3 If you send us ideas or suggestions, we may use them to improve the Services, with nothing owed to you.

• 5.1 Your data is yours. We use it only to run the Services for you, to keep them secure, and to enforce these Terms.
• 5.2 To answer a question, we send the parts of your data the answer needs to an AI sub-processor (see 1.11). If that provider fails at the time, the request may be sent to a different provider so you still get an answer. We name our sub-processors in our Privacy Policy.
• 5.3 You are responsible for your data being lawful and for having the right to use it.
• 5.4 Relay reads only public pages of the website you give it, follows that website's robots.txt, and reads the documents you upload to it.
• 5.5 For your visitors' data, you decide what Relay is used for and we process that data on your behalf. You are responsible for telling your visitors about Relay (the widget, or the WhatsApp number it answers) and their data (for example in your own privacy notice), and for having a lawful reason to collect anything you ask them for, such as an email address for a reply. If you connect a WhatsApp number, you do so through your own Meta account: Meta's terms apply to it, and Meta bills you directly for its messages.
• 5.6 Each side must protect the other's non-public information and use it only for this relationship.

• 6.1 Prices. Plan and pack prices are shown on our pricing page and at checkout. Each product (ChatPlotDB and Relay) has its own plans, packs and credits.
• 6.2 How credits are used. Using the Services draws credits from the wallet of the product and workspace you are in. A ChatPlotDB question costs a small flat fee plus the AI usage it needs, at our published rates. A Relay visitor message costs a small flat fee plus its AI usage; Relay syncs and quality checks cost their AI usage only.
• 6.3 Credits expire 12 months after they are added, whether they come from a welcome grant, a plan, a pack, or us. The credits that expire soonest are used first. Credits have no cash value, cannot be moved between products or wallets, and are not refundable, except where the law requires otherwise.
• 6.4 Running low. ChatPlotDB starts work only while its wallet has credits; work already started may finish and take the wallet slightly below zero. Relay keeps answering visitors until its wallet reaches 100 credits below zero, so your website does not go silent the moment credits run out; Relay syncs stop at zero. Any amount below zero is taken from the next credits you add. We email the owner and the product's admins as the balance falls.
• 6.5 Plans renew automatically every month until you cancel. To cancel, email support@simplifyingai.com and we stop all future charges. Cancelling does not refund a month already paid for, except where the law requires otherwise.
• 6.6 Introductory offer. Where offered, the first month of a plan costs US$1 for one person, once per product and wallet. Extra seats and extra Relay members are charged at the full price from the start.
• 6.7 Seats and members. Adding a seat or a Relay member during a month is charged for the rest of that month; removing one lowers the bill from the next renewal.
• 6.8 Packs are one-off purchases and are not refundable. An organization can buy packs only while it has an active plan for that product.
• 6.9 Price changes. We may change prices. A change to a plan you already have takes effect from a renewal after we have told you about it, and you can cancel before then.
• 6.10 Payments are processed by our payment provider, who acts as the merchant of record and handles taxes and invoices. We do not store your card details.

• 7.1 The Services are provided 'as is' (in their current state, with their faults). We do not promise they will be available, error-free, accurate, or fit for any particular purpose.
• 7.2 You use the Services at your own risk and must check results before relying on them.
• 7.3 As far as the law allows, we are not liable for indirect losses (such as lost profits or lost data), and our total liability is capped at the greater of the fees you paid us in the 3 months before a claim, or US$100.

• 8.1 You agree to cover us against claims, losses, and costs that come from your data, your website and its content, what Relay tells your visitors on your behalf, your misuse of the Services, or your breaking these Terms.

• 9.1 These Terms apply from your first use until ended.
• 9.2 You may stop using the Services at any time. To delete your account, email support@simplifyingai.com from the address you sign in with. We then keep it for 3 months so you can change your mind: signing in again within that time cancels the deletion. After 3 months the account and all its data are permanently deleted.
• 9.3 We may suspend or end your access at any time, for example if you break these Terms or do not pay, or to protect the Services or other users, and we may monitor use to enforce them.
• 9.4 When an organization is deleted, it stops working at once for every member: its Relay widget and WhatsApp number stop answering, its share links stop working, and its plans are cancelled. Its owner can restore it within 3 months; its data, members and unexpired credits come back, while cancelled plans and share links do not, and Relay stays off until an admin turns it on. After 3 months the organization and all its data are permanently deleted, including any credits left in its wallets.
• 9.5 When access ends for any other reason, your right to use the Services stops, and we may delete your data after 3 months. Keep your own copies of anything important.
• 9.6 Sections 4, 6.3, 7, 8 and 12 survive the end of these Terms.

• 10.1 The Services are young and change often. Features may be added, changed, or removed.
• 10.2 We work to keep your data safe, but we do not promise it is backed up, and data can be lost. Keep your own copies of anything important.
• 10.3 We may pause or stop offering a feature or a Service. If we stop offering a Service you pay for, we will tell you before it stops.

• 11.1 The Services use AI, and AI can make mistakes. Queries, answers, charts, and Relay's replies to your visitors may be wrong, incomplete, or misleading.
• 11.2 You must check every result before you rely on it or make decisions from it. We are not responsible for decisions you make based on the Services' output. An optional step lets you approve a ChatPlotDB query before it runs, but this does not remove your responsibility to check.
• 11.3 Relay answers from your website and the documents you give it, and says so when it cannot find an answer. You are responsible for what your website says and for what Relay tells your visitors on your behalf. Offer your visitors a way to reach a person (Relay can hand a conversation to your team) for anything that matters.

• 12.1 These Terms are governed by the laws of India, and disputes are handled by the courts in Bangalore.
• 12.2 We may update these Terms. If a change is important, we will tell you before it takes effect, and continued use means you accept the new version.
• 12.3 If one part of these Terms is found invalid, the rest still applies. You may not transfer these Terms to anyone else; we may transfer them within our business.
